Job Summary
Under limited supervision, uses knowledge and skills obtained through education and experience to assist the lead legal and compliance liaison and perform internal pre-marketing/offering review for negotiated municipal and non-profit underwritings and placements. Conduct transaction document review to ensure compliance with regulatory and internal policies and procedures regarding clients seeking capital market and/or private financing. Analyzes financial data to assist in making credit decision recommendations - including at Commitment Committee meetings – with responsibility to assist in the coordination of committee processes for each transaction and advancing transactions through the pipeline accordingly. Working in conjunction with compliance and legal partners, review and verify that appropriate due diligence investigations are conducted and documented by bankers. Maintains appropriate documentation and monitors compliance with firm policies regarding transaction deal flow and processing. Review various reports and materials to ensure compliance with organizational policies and applicable guidelines. Maintains understanding and practical working knowledge of applicable SEC, MSRB, and similar rules and regulations.
- Monitors the internal underwriting deal-flow process from start to finish under the direction of the senior manager of risk and operations.
- Reviews in-bound commitment committee submissions to assess accuracy and compliance with regulatory and firm policies and procedures.
- Works with other centralized Public Finance associates on various departmental projects and operating protocols.
- Provides valuable input to municipal and non-profit public debt offerings, private placements, and municipal advisory engagements.
- Interacts with both internal and outside counsel and financial advisors to evaluate and provide input to document due diligence, under the direction of the senior manager of risk and operations
- Provides valuable deal structure and regulatory implications input to Public Finance Investment Bankers.
- Reviews procedures for more efficient and cost-effective ways of managing the workflow.
- Reviews and documents various MSRB monthly reports for compliance. Implements revised procedures and takes corrective action, as necessary.
- Keeps management apprised of developments as they relate to personnel, workflow, and special projects. Communicates and coordinates changes in policy and procedures that affect other departments.
- Remains abreast of proposed, pending, and implemented legal, compliance, and regulatory changes effecting the industry, including both underwriting and advisory.
- Performs other duties and responsibilities as assigned.
Knowledge, Skills, and Abilities
Knowledge of
- Fundamental concepts, practices, and procedures of Public Finance, Debt Investment Banking, and Municipal Advisory industry.
- Lending procedures, regulatory requirements, commitment committee transaction review, and investment banker/client relationships.
- Municipal Financial Markets and Products.
- Public offerings of debt obligations via official statements.
- SEC Rule 15c2-12 and the Municipal Advisory Rule.
- MSRB Rules and best practices applicable to Municipal advisory engagements and municipal debt transactions.
- Potential investor classifications such as Qualified Institutional Buyers and Accredited Investors.
- Private placements and limited public offerings.
- Basic business project financing case analysis.
- Quantitative financial analysis and data modeling review.
- Municipal credit experience and/or prior credit review, and Dillion’s Rule.
- Municipal or Debt Investment Banking transaction pipe-line review and administration.
- Communicate effectively, both orally and in writing.
- Analytical skills sufficient to assess and explain municipal and non-profit debt offerings.
- Qualitative and Quantitative analysis sufficient to show alternatives, make recommendations, and reach conclusions.

Education/Previous Experience
- Bachelor’s Degree in finance, economics, or accounting and a minimum of five (5) years of underwriting or transaction review experience.
- Experience in municipal public finance or municipal advisory engagements is preferred.
- OR
- Any equivalent combination of experience, education, and/or training approved by Human Resources.
- Series 7 and/or Series 50, or
- SIE, Series 52, and Series 63.
- Passage of Series 50 and 79 within nine months required if not currently held.
- Additionally, desirable: Series 52, Series 53, Series 54, and/or Series 65.
