Job Description

Our Corporate Paralegal, under the supervision and direction of the company GC, helps to manage and organize the materials and information relating to particular matters and transactions. These duties allow them the opportunity to work with and assist our legal and other department staff in preparing for due diligence investigations, document productions and deal closings. The projects typically involve clerical duties and basic file organization tasks.

ESSENTIAL FUNCTIONS

The Corporate Paralegal assists GC and staff with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities as well as but not limited to:

  • Assist with all closing matters: attend to post closing materials such as distribution of documents and original signature pages, prepare and organize documents, prepare and organize materials for shipment, create index and labels, assemble documents into tabs and create binders, create certificates and legends, deliver and pick up documents to and from various clients, investors, and law firms.
  • In preparation for a closing: fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS, order corporate documents, e.g. charters, bylaws, good standings.
  • Keep track of all relevant documents and signature pages for the GC and CEO.
  • Draft simple documents such as certificates, powers of attorney, resignations and standard certificates and resolutions.
  • General corporate housekeeping, e.g. maintenance of corporate minute books, annual meetings, preparation of minutes and corporate resolutions.
  • Proofread, duplicate and scan documents to PDF, format and save to document management system.
  • Conduct legal research on Westlaw, Live Edgar, and other databases.
  • Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare packages, write generic cover memos, etc.
  • Assist GC in all aspects of managing, graphing, and following up on high volume of litigation matters
  • Assist GC in various drafting of leases, pleadings, legal memoranda, settlement agreements etc.
  • Communicate with business teams and opposing counsel

Required Skills & Experience:

  • Minimum of 3 years’ experience
  • Professional appearance and demeanor
  • Exceptional legal writing skills
  • Superior organizational and time-management skills
  • Must be computer literate and tech savvy
  • Must have a positive attitude and strong work ethic
  • Highest ethical standards and professional integrity
  • Strong interpersonal skills and ability to communicate effectively with investors, staff, and outside parties
  • MUST HAVE COMMERCIAL REAL ESTATE EXPERIENCE
