Ducks Unlimited, Inc., the continent’s leader in waterfowl and wetlands conservation, seeks an attorney that will be responsible for legal and related business matters arising within the organization. The Associate General Counsel reports to the General Counsel and is based at the National Headquarters in Memphis, TN.

The attorney will be a corporate generalist providing legal services to all areas of a 501(c)(3) non-profit fundraising and conservation corporation and its supporting organizations, including in the following areas of practice:

• Review, drafting, and negotiation assistance of a wide range of contracts for all areas of the organizations, including contracts with federal and state entities.
• Intellectual property, including trademark licensing and enforcement.
• Charitable fundraising and membership acquisition, including state gaming laws.
• Real estate matters, including leases and conservation easements.
• Non-profit tax matters.
• Litigation supervision and management.
• Board Governance.
• Insurance and enterprise risk management.
• Planned giving.

QUALIFICATIONS:

• Bachelor’s degree
• Juris Doctorate from accredited law school
• Current bar admission in Tennessee or at least one state
• Ability to obtain Tennessee bar admission.
• 5 to 10 years legal experience

A successful candidate will have the ability to learn a wide variety of legal responsibilities from high-functioning team already in place and demonstrate excellent judgment. Additionally, the candidate needs to be willing to work with various company departments seamlessly. A dedication to DU’s conservation mission, a passion for the outdoors, and DU volunteer experience is a significant plus.
